RevTV Advertising Services Terms and Conditions

Effective Date: July 21, 2026 · Version 1.0

These Advertising Services Terms and Conditions, together with any campaign authorization, account registration, order, insertion order, statement of work, or other agreement that references these Terms, collectively form the “Agreement.”

The Agreement is entered into between RevTV, Inc., a Delaware corporation with its principal place of business at 2931 Gallows Road, Falls Church, Virginia 22042 (“RevTV,” “we,” “us,” or “our”), and the business or organization creating an account, purchasing services, approving a campaign, or otherwise using the Services (“Client,” “you,” or “your”).

By creating an account, checking an acceptance box, approving a campaign, submitting payment information, or using the Services, you agree to be legally bound by this Agreement.

If you accept this Agreement on behalf of a company or another organization, you represent and warrant that you have the authority to bind that organization. In that case, “Client,” “you,” and “your” refer to that organization.

If you do not agree to these Terms, do not create an account, approve a campaign, submit payment, or use the Services.

1. Business Use Only

The Services are intended solely for businesses and organizations purchasing advertising and related services for commercial purposes.

You represent that you are entering into this Agreement for business purposes and not for personal, family, or household use.

2. Services

RevTV provides advertising and related services that may include:

  • Connected television and streaming television advertising
  • Online and streaming video advertising
  • Programmatic display advertising
  • Streaming audio and podcast advertising
  • Digital media planning and purchasing
  • Geographic, demographic, behavioral, contextual, audience, and household targeting
  • Campaign trafficking, management, optimization, measurement, reporting, and attribution
  • Creative coordination, production, adaptation, formatting, and resizing
  • CRM, analytics, attribution, and reporting integrations
  • Other advertising, technology, consulting, and related services

The exact Services provided for a campaign will be based on the campaign settings, instructions, materials, total budget, and approvals submitted by Client.

RevTV may use third-party platforms, publishers, exchanges, data providers, identity providers, measurement companies, creative vendors, payment processors, hosting providers, subcontractors, and other service providers to perform the Services.

3. Account Registration and Security

Client agrees to provide complete, accurate, and current information when creating and maintaining an account.

Client is responsible for:

  • Protecting its login credentials
  • Limiting account access to authorized representatives
  • Keeping authorized users and contact information current
  • Reviewing activity conducted through its account
  • Immediately notifying RevTV of suspected unauthorized access
  • Ensuring that every account user has authority to provide instructions and approvals on Client’s behalf

RevTV may rely on instructions, campaign approvals, budget approvals, changes, payment authorizations, and other actions taken through Client’s account using valid credentials.

Unless RevTV receives written notice of unauthorized access, activity conducted through Client’s account will be treated as authorized by Client.

Client is responsible for charges and obligations resulting from authorized account activity.

4. Electronic Communications and Acceptance

Client agrees to conduct business with RevTV electronically.

Electronic records, checkbox acceptances, button clicks, campaign approvals, emails, account activity, and other electronic actions may serve as Client’s signature and evidence of Client’s agreement.

RevTV may retain records including:

  • Client’s name, company, title, and email address
  • The date and time of acceptance
  • IP address and device information
  • The version of the Terms accepted
  • The acceptance language displayed
  • Campaign settings and materials approved
  • Campaign changes
  • Payment authorizations
  • Communications relating to the Services

Client agrees that RevTV’s electronic records may be used as evidence of Client’s authorization and acceptance to the fullest extent permitted by law.

5. Campaign Approval

Before a campaign is launched, RevTV may provide Client with a final campaign summary.

The campaign summary may include:

  • Campaign name
  • Selected advertising channels
  • Total campaign budget
  • Campaign start and end dates
  • Geographic targeting
  • ZIP codes and market areas
  • Audience criteria
  • Creative materials
  • Advertising copy
  • Offers and promotions
  • Landing pages
  • Telephone numbers
  • Tracking information
  • Conversion events
  • Recurring or continuation settings
  • Other material campaign details

By clicking “Approve and Launch Campaign,” checking a campaign approval box, approving an order, approving a campaign through email, or otherwise instructing RevTV to proceed, Client confirms that it has carefully reviewed and approved the campaign.

Client’s approval authorizes RevTV and its service providers to purchase advertising inventory, incur expenses, use the approved materials, and operate the campaign according to the approved settings.

6. Client Responsibility for Campaign Details

Client is solely responsible for reviewing and confirming the accuracy and completeness of all campaign information before approval.

This includes:

  • Total campaign budget
  • Campaign start and end dates
  • Geographic targeting and excluded locations
  • Audience targeting
  • Creative files and versions
  • Advertising copy
  • Prices, discounts, offers, and promotions
  • Offer expiration dates
  • Product and service descriptions
  • Landing pages
  • Telephone numbers and contact information
  • Tracking numbers, pixels, tags, and conversion events
  • Legal disclaimers and disclosures
  • Licensing and regulatory requirements
  • Inventory and product availability
  • Client’s ability to honor advertised offers

If Client submits or approves incorrect information, RevTV will not be responsible for losses, expenses, missed opportunities, customer complaints, reputational harm, campaign charges, or other consequences resulting from that information.

Client remains responsible for all amounts incurred based on Client’s approval, even if Client later determines that it submitted or approved incorrect information.

7. Campaign Changes, Pauses, and Cancellations

Client must promptly notify RevTV if it discovers an error or wants to change, pause, or cancel a campaign.

Requests may be submitted through Client’s account or by email to hello@revtv.ai.

RevTV will use commercially reasonable efforts to process the request. Client understands that:

  • Changes may not take effect immediately
  • Advertising may continue while a request is being processed
  • Third-party platforms may require additional processing time
  • Certain advertising inventory may be noncancelable
  • Charges may continue to accrue after a request is submitted
  • Creative changes may require new platform or publisher approval

Client is responsible for all amounts incurred before the change, pause, or cancellation becomes effective.

Material changes may require Client to approve an updated campaign before the change goes live.

Material changes include changes to:

  • Total campaign budget
  • Creative
  • Messaging
  • Offers
  • Targeting
  • Locations
  • Dates
  • Landing pages
  • Telephone numbers
  • Advertising channels
  • Recurring or continuation settings

8. Campaign Budget and Authorized Charges

Before a campaign is launched, Client will be shown the total campaign budget or other total amount authorized for the campaign.

By approving the campaign, Client authorizes RevTV to use the approved amount to provide the advertising services described in the campaign summary.

The approved amount may include advertising inventory, technology, data, audience targeting, campaign management, optimization, reporting, measurement, creative services, third-party services, and other costs associated with operating the campaign.

RevTV is not required to separately itemize its internal costs, vendor costs, service components, margins, discounts, commissions, incentives, or compensation arrangements unless RevTV expressly agrees to do so in writing.

Client’s payment obligation is based on the total amount approved by Client and not on RevTV’s cost to purchase or provide an individual component of the Services.

9. Campaign Delivery and Budget Pacing

Programmatic advertising is delivered through automated auctions and third-party platforms.

Campaign delivery, daily spending, impression volume, and pacing may vary throughout the campaign.

A daily or monthly budget may be used as a pacing target and may not represent an exact amount delivered on each individual day or during each individual period.

Unused daily or periodic budget may be shifted to other days or periods within the approved campaign dates.

RevTV may allocate the approved campaign budget across dates, channels, publishers, inventory sources, devices, audiences, locations, and other campaign components to improve delivery and performance.

Unless Client provides additional approval, RevTV will not intentionally charge Client more than the total campaign amount approved by Client.

10. Payment Authorization

Client authorizes RevTV and its payment processor to charge the payment method provided for the total campaign amount and any other amount clearly approved by Client.

RevTV may require:

  • Full payment before campaign launch
  • A deposit before work begins
  • Additional funding before an approved campaign continues
  • A valid credit card, debit card, or ACH payment method
  • Prepayment for recurring or renewed campaigns

Unless RevTV expressly approves different payment terms in writing, campaigns must be paid in advance.

RevTV is not required to launch or continue a campaign until sufficient cleared funds have been received.

11. Failed Payments and Suspension

If a payment fails, is reversed, is disputed, or is not received when due, RevTV may immediately:

  • Suspend or cancel campaigns
  • Restrict account access
  • Stop providing Services
  • Charge another payment method authorized by Client
  • Require prepayment for future Services
  • Refer the unpaid balance for collection
  • Recover reasonable collection costs and attorneys’ fees where permitted by law

Client remains responsible for amounts properly authorized and incurred before a campaign is suspended or canceled.

A chargeback or payment dispute does not eliminate Client’s obligation to pay amounts properly authorized under this Agreement.

Client agrees to provide RevTV with a reasonable opportunity to investigate and address a disputed charge before initiating a chargeback.

12. Taxes

Client is responsible for applicable sales, use, digital advertising, excise, or similar taxes and government assessments unless they are expressly included in the amount displayed to Client.

Client is not responsible for taxes imposed on RevTV’s net income.

13. Nonrefundable Campaign Charges

Amounts paid or committed for a campaign are nonrefundable once RevTV begins purchasing inventory, configuring the campaign, using third-party services, producing or modifying creative, or otherwise performing the Services.

Client understands that advertising inventory may be purchased through real-time auctions and that completed purchases, delivered impressions, platform activity, data usage, and other campaign expenses may not be reversible.

Except where RevTV expressly agrees otherwise in writing:

  • Delivered or committed campaign amounts are nonrefundable
  • Campaign setup and creative work are nonrefundable once work begins
  • Third-party expenses are nonrefundable once incurred or committed
  • Client remains responsible for amounts incurred before a pause, change, or cancellation becomes effective
  • Client is not entitled to a refund because a campaign does not produce the results Client expected

14. Recurring Campaigns

If Client selects a recurring, continuous, monthly, evergreen, automatically renewed, or automatically continuing campaign, Client authorizes RevTV to continue operating and charging for the campaign until it is canceled.

The applicable campaign amount will continue according to the frequency disclosed during campaign approval.

Client must submit cancellation through the cancellation process displayed in its account or by written notice to hello@revtv.ai.

Cancellation will become effective after RevTV has had a commercially reasonable period to process it.

Client remains responsible for costs incurred before cancellation becomes effective, including noncancelable commitments and costs incurred through third-party platforms.

Material changes to a recurring campaign may require renewed approval.

15. Client Materials

“Client Materials” means videos, audio, images, logos, trademarks, music, copy, offers, customer lists, audience information, landing pages, product information, testimonials, claims, disclosures, and other content or data provided, uploaded, or approved by Client.

Client retains ownership of its Client Materials.

Client grants RevTV and its service providers a worldwide, nonexclusive, royalty-free, and sublicensable license to host, copy, modify, format, encode, resize, crop, transmit, distribute, display, perform, and otherwise use Client Materials as reasonably necessary to provide the Services.

RevTV may make technical or formatting modifications needed to meet platform or publisher requirements, provided those changes do not materially alter the approved advertising message.

Client is responsible for reviewing and approving materially revised creative before use.

16. Client Representations and Warranties

Client represents and warrants that:

  • It has authority to enter into this Agreement
  • It owns or has obtained all rights necessary to use the Client Materials
  • Client Materials do not infringe intellectual property, privacy, publicity, contractual, or other rights
  • Advertising claims are truthful, accurate, substantiated, and not misleading
  • Prices, offers, guarantees, testimonials, comparisons, and promotional claims comply with applicable law
  • Client will honor its advertised offers and commitments
  • Client’s products and services are lawful
  • Client possesses required licenses, registrations, permits, and approvals
  • Client’s websites and landing pages comply with applicable law
  • Client’s collection and use of customer and audience data comply with applicable law, notices, contracts, and consents
  • Client has included all required disclosures
  • Client’s instructions will not cause RevTV to violate applicable law or third-party policies

RevTV’s review or acceptance of Client Materials does not transfer responsibility for those materials to RevTV and does not constitute legal approval.

17. Prohibited Advertising

Client may not use the Services for advertising that is unlawful, fraudulent, deceptive, infringing, defamatory, discriminatory, harmful, or prohibited by platform or publisher policies.

RevTV may reject, suspend, restrict, or remove a campaign or Client Material if RevTV reasonably believes it:

  • Violates law or regulation
  • Violates a third-party policy
  • Creates legal, reputational, operational, security, or financial risk
  • Contains false, deceptive, unsubstantiated, or misleading claims
  • Infringes the rights of another party
  • Promotes prohibited or restricted goods or services
  • May expose RevTV or its service providers to liability

RevTV’s acceptance of a campaign does not constitute a representation that the campaign is lawful or compliant.

18. Regulated Industries

Client is solely responsible for requirements applicable to its industry.

This includes advertising involving healthcare, pharmaceuticals, financial services, credit, insurance, legal services, real estate, housing, employment, politics, automotive sales, alcohol, gambling, contests, sweepstakes, children, telecommunications, and other regulated categories.

RevTV is not Client’s attorney, compliance officer, licensing advisor, or regulatory consultant.

Client should obtain independent legal review before approving regulated advertising.

19. Data and Audience Information

Client may provide customer, prospect, CRM, transaction, lead, conversion, website, or audience information in connection with the Services.

Client represents and warrants that:

  • It lawfully collected the information
  • It has all required notices, permissions, and consents
  • Its instructions are consistent with its privacy policy and contractual obligations
  • It will not provide information that it is prohibited from sharing
  • It will not provide sensitive personal information unless approved by RevTV in writing
  • It will not provide protected health information unless the parties have entered into an appropriate written agreement
  • It will not provide payment card information, Social Security numbers, passwords, or similar highly sensitive information through unauthorized channels

RevTV may refuse or delete information that it reasonably believes creates legal or security risk.

Additional data-processing terms may apply when RevTV processes personal information on Client’s behalf.

20. Reporting and Attribution

Reporting, attribution, audience matching, household matching, identity resolution, conversion measurement, and return-on-ad-spend calculations depend on available data, third-party platforms, match rates, tracking configurations, methodologies, attribution windows, identity signals, and other factors.

Client acknowledges that:

  • Reports may be delayed, incomplete, estimated, modeled, or adjusted
  • Different platforms may report different results
  • Multiple channels may claim credit for the same conversion
  • Identity and household matches are not guaranteed to be exact
  • Attribution is an analytical methodology and not proof that an advertisement caused a particular sale
  • Publisher, platform, CRM, analytics, and RevTV data may not reconcile
  • Tracking may be affected by privacy technology, browser settings, device limitations, platform changes, or user behavior

RevTV does not guarantee the accuracy or completeness of third-party information or attribution results.

21. No Guaranteed Results

RevTV does not guarantee:

  • A specific number of impressions
  • Availability on a particular publisher, platform, program, website, application, or device
  • A specific CPM, CPC, cost per lead, cost per acquisition, or cost per booked job
  • Leads, telephone calls, appointments, bookings, purchases, revenue, or profit
  • A particular return on advertising spend
  • A particular audience match rate
  • That every impression will be viewed by a person
  • That advertising will be free from invalid traffic or fraud
  • That a campaign will achieve Client’s objectives
  • Continuous or uninterrupted platform availability

Advertising performance is affected by factors outside RevTV’s control, including Client’s pricing, reputation, website, sales process, staffing, inventory, competition, market conditions, seasonality, offer quality, and customer demand.

22. Optimization and Campaign Management

Unless Client provides contrary written instructions, Client authorizes RevTV to make reasonable campaign-management decisions within the approved campaign scope and total campaign budget.

These decisions may include adjustments to:

  • Bids
  • Pacing
  • Frequency
  • Inventory sources
  • Publishers
  • Devices
  • Creative rotation
  • Audience segments
  • Geographic allocation
  • Dayparts
  • Campaign line items
  • Other delivery settings

RevTV will not intentionally increase the total approved campaign amount without Client authorization.

Optimization decisions do not guarantee improved performance.

23. Third-Party Platforms and Publishers

RevTV does not own or control third-party platforms, publishers, exchanges, inventory providers, data providers, measurement companies, or vendors.

Campaigns may be subject to their terms, specifications, policies, availability, review procedures, technical limitations, and reporting methodologies.

RevTV is not responsible for:

  • Platform or publisher outages
  • Inventory shortages
  • Rejected or delayed creative
  • Reporting discrepancies
  • Delayed data
  • Changes to platform policies or functionality
  • Publisher content
  • Placement adjacent to objectionable content despite reasonable safeguards
  • Third-party fraud, invalid traffic, or technical errors
  • Third-party security incidents outside RevTV’s reasonable control
  • Suspension or termination by a third-party provider
  • Events beyond RevTV’s reasonable control

RevTV may replace a vendor, platform, publisher, or data source when reasonably necessary to provide the Services.

24. Placement and Brand Safety

RevTV may use commercially reasonable brand-safety settings and exclusion tools when included in the Services.

No technology can guarantee that an advertisement will never appear:

  • Near objectionable or controversial content
  • On an undesired website, application, program, or channel
  • Before content that later becomes controversial
  • To an unintended person
  • Outside an intended context because of inaccurate third-party data

Client must provide placement restrictions before approving the campaign.

Client’s remedy for an objectionable placement is to notify RevTV promptly so RevTV may use commercially reasonable efforts to block similar future placements.

25. Creative and Platform Rejection

Publishers and platforms may reject, restrict, pause, or remove advertising in their discretion.

RevTV does not guarantee that creative will be accepted.

If creative is rejected, Client must promptly provide revised materials or authorize agreed-upon revisions.

Client remains responsible for charges already incurred and any approved creative-revision costs.

26. Intellectual Property

Except for Client Materials, RevTV and its licensors retain all rights in:

  • The RevTV platform
  • Software
  • Technology
  • Processes
  • Campaign structures
  • Templates
  • Dashboards
  • Reports
  • Methodologies
  • Documentation
  • Designs
  • Know-how
  • Improvements
  • RevTV trademarks and branding

Client receives a limited, nonexclusive, and nontransferable right to access and use the Services during the term of the Agreement for its internal business purposes.

Client may not copy, reverse engineer, resell, sublicense, scrape, interfere with, or attempt to gain unauthorized access to the Services.

27. Feedback

If Client provides ideas, recommendations, feedback, or suggestions relating to the Services, Client grants RevTV a perpetual, worldwide, irrevocable, and royalty-free right to use and incorporate that feedback without restriction or compensation.

28. Confidentiality

Each party may receive nonpublic business, technical, pricing, campaign, customer, or financial information from the other party.

The receiving party will:

  • Use confidential information only to perform or receive the Services
  • Protect it using reasonable care
  • Disclose it only to representatives who need the information and are subject to confidentiality obligations
  • Not disclose it to third parties except as authorized or legally required

Confidential information does not include information that:

  • Is publicly available without breach
  • Was already lawfully known
  • Is lawfully received from a third party
  • Is independently developed without use of the confidential information

RevTV may use aggregated or deidentified information for analytics, benchmarking, research, service improvement, fraud prevention, and business operations, provided it does not identify Client or an individual.

29. Suspension and Termination by RevTV

RevTV may suspend or terminate Services or account access immediately if:

  • Client fails to pay amounts due
  • Client breaches the Agreement
  • RevTV suspects fraud or unauthorized activity
  • A campaign creates legal, regulatory, security, reputational, operational, or financial risk
  • Client violates third-party policies
  • RevTV is required to do so by law or a service provider
  • Client becomes insolvent or files for bankruptcy
  • Continued service becomes impractical because of circumstances beyond RevTV’s reasonable control

Suspension or termination does not eliminate Client’s obligation to pay amounts already incurred or committed.

30. Termination by Client

Client may terminate its account or campaign according to RevTV’s cancellation process.

Termination does not entitle Client to a refund of:

  • Advertising already delivered
  • Advertising already purchased or committed
  • Work already performed
  • Third-party costs
  • Creative or setup costs
  • Other noncancelable amounts

Outstanding balances become immediately due upon termination.

Sections that by their nature should survive termination will survive, including payment, ownership, confidentiality, warranties, indemnification, disclaimers, liability limitations, dispute resolution, and recordkeeping provisions.

31. Indemnification by Client

Client will defend, indemnify, and hold harmless RevTV, its affiliates, owners, officers, directors, employees, contractors, agents, vendors, and service providers from claims, investigations, proceedings, liabilities, damages, judgments, settlements, penalties, fines, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or relating to:

  • Client Materials
  • Client’s products or services
  • Client’s advertising claims, offers, or promotions
  • Client’s failure to honor an advertised offer
  • Client’s instructions or campaign approvals
  • Incorrect information submitted or approved by Client
  • Client’s violation of law or regulation
  • Client’s violation of a third party’s rights
  • Intellectual property infringement
  • Privacy, publicity, or data-protection claims
  • Client-provided customer or audience information
  • Client’s website or landing pages
  • Client’s breach of this Agreement
  • Fraudulent, negligent, or willful conduct by Client
  • Activity conducted through Client’s account

RevTV will notify Client of a covered claim and may participate in the defense using counsel of its choice.

Client may not settle a claim in a manner that admits wrongdoing by RevTV, imposes obligations on RevTV, or restricts RevTV’s operations without RevTV’s written approval.

32. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

REVTV DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RESULTS, AND AVAILABILITY.

REVTV DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

REVTV DOES NOT WARRANT THE ACCURACY OR COMPLETENESS OF THIRD-PARTY DATA, REPORTS, INVENTORY, AUDIENCE INFORMATION, ATTRIBUTION, OR MEASUREMENT.

CLIENT IS RESPONSIBLE FOR DETERMINING WHETHER THE SERVICES ARE APPROPRIATE FOR ITS BUSINESS.

33. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REVTV AND ITS AFFILIATES, OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, VENDORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR:

  • INDIRECT DAMAGES
  • INCIDENTAL DAMAGES
  • SPECIAL DAMAGES
  • EXEMPLARY DAMAGES
  • PUNITIVE DAMAGES
  • CONSEQUENTIAL DAMAGES
  • LOST PROFITS
  • LOST REVENUE
  • LOST BUSINESS
  • LOST OPPORTUNITIES
  • LOSS OF GOODWILL
  • LOSS OR CORRUPTION OF DATA
  • BUSINESS INTERRUPTION
  • REPUTATIONAL HARM
  • COSTS OF SUBSTITUTE SERVICES

This limitation applies regardless of the theory of liability and even if RevTV was advised that such damages were possible.

To the maximum extent permitted by law, RevTV’s total aggregate liability arising from or relating to a specific campaign will not exceed the lesser of:

  • The amount actually paid by Client to RevTV for the directly affected campaign during the three months immediately preceding the event giving rise to the claim; or
  • Twenty-five thousand dollars.

Amounts paid or committed to third-party platforms, publishers, data providers, creative vendors, and other service providers are excluded from the liability calculation to the extent those amounts cannot reasonably be recovered by RevTV.

Nothing in this Agreement limits liability that cannot lawfully be limited.

34. Client’s Exclusive Remedy for Campaign Errors

If RevTV makes a confirmed campaign implementation error that materially differs from the campaign approved by Client, Client’s exclusive remedy will be, at RevTV’s option:

  • Correction of the error
  • Replacement advertising
  • An account credit
  • A refund of the directly affected amount that RevTV is reasonably able to recover

Client must notify RevTV in writing within ten calendar days after the error appears in Client’s account or report.

RevTV is not responsible for errors caused by Client Materials, Client approvals, Client instructions, third-party systems, publishers, platforms, data providers, or circumstances outside RevTV’s reasonable control.

35. Force Majeure

RevTV is not responsible for delays or failures caused by events beyond its reasonable control, including:

  • Natural disasters
  • Severe weather
  • Fire or flood
  • War or terrorism
  • Civil unrest
  • Labor disputes
  • Government action
  • Public-health emergencies
  • Utility, telecommunications, or internet failures
  • Cyberattacks
  • Platform outages
  • Publisher failures
  • Inventory shortages
  • Changes in law
  • Acts or omissions of third-party providers

36. Governing Law and Venue

This Agreement is governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-law rules.

Any dispute arising out of or relating to this Agreement or the Services must be brought exclusively in the state or federal courts serving Fairfax County, Virginia.

Each party consents to the personal jurisdiction and venue of those courts.

37. Class-Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY AGREES TO BRING CLAIMS ONLY IN ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.

38. Time Limit for Claims

To the maximum extent permitted by law, any claim by Client arising out of or relating to the Agreement or Services must be filed within one year after the event giving rise to the claim.

Any claim not filed within that period is waived, except where a shorter contractual period is prohibited by law.

39. Attorneys’ Fees and Collection Costs

If RevTV takes action to collect an overdue amount or enforce its payment rights, Client will reimburse RevTV for reasonable collection costs, court costs, and attorneys’ fees to the extent permitted by law.

40. Notices

RevTV may provide notices by email, account notification, website posting, or other electronic means.

Notices to Client will be effective when sent to the email address associated with Client’s account or posted in Client’s account.

Client is responsible for keeping its contact information current.

Campaign changes, pauses, and cancellations may be submitted through Client’s account or by email to hello@revtv.ai.

41. Changes to These Terms

RevTV may update these Terms from time to time.

RevTV will provide notice of material changes through the website, Client’s account, email, or another reasonable method.

RevTV may require Client to affirmatively accept updated Terms before continuing to use the Services or launching additional campaigns.

Updated Terms will not retroactively change a completed campaign unless required by law or agreed to by the parties.

42. Assignment

Client may not assign or transfer this Agreement without RevTV’s prior written consent.

RevTV may assign the Agreement to an affiliate or in connection with a merger, acquisition, financing, restructuring, sale of assets, or transfer of the Services.

43. Independent Contractors

The parties are independent contractors.

This Agreement does not create a partnership, joint venture, franchise, employment relationship, fiduciary relationship, or agency relationship.

Neither party may bind the other except as expressly provided in this Agreement.

44. No Third-Party Beneficiaries

Except for parties expressly protected by the indemnification, disclaimer, and limitation-of-liability provisions, this Agreement does not create rights for third parties.

45. Waiver

A failure or delay in enforcing a provision does not waive the right to enforce it later.

A waiver must be in writing and applies only to the specific instance for which it is given.

46. Severability

If a provision of this Agreement is found invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.

47. Order of Precedence

If there is a conflict among applicable documents, the following order will apply unless expressly stated otherwise:

  • A signed statement of work or insertion order
  • A specific campaign authorization
  • These Terms and Conditions
  • Other information displayed on the website

A later document controls over an earlier document only regarding the same subject matter.

48. Entire Agreement

This Agreement constitutes the entire agreement between Client and RevTV concerning the Services and replaces prior or contemporaneous discussions, proposals, representations, and agreements concerning the same subject matter.

Client confirms that it is not relying on a promise, guarantee, statement, or representation not expressly included in the Agreement.
